Special Pricing and Project Access

Subject to applicable laws, including the provisions of the Real Estate (Regulation and Development) Act, 2016 (RERA), the Company may, at its sole and absolute discretion, offer Members preferential pricing, promotional schemes, or early access to certain real estate projects promoted or marketed by the Company or its affiliates.

No Assurance or Allotment Rights

Membership does not confer upon the Member any right, entitlement, priority allotment, reservation, or guaranteed access to any real estate project, unit, or inventory. All allotments shall be made strictly in accordance with applicable law and the Company's prevailing policies.

Lifestyle and Community Access

The Company may, at its sole discretion, grant members access to clubhouse facilities, community events, networking opportunities, and other lifestyle-related benefits. Such access is provided on a revocable, non-transferable basis, carries no monetary value, and may be modified, suspended, or withdrawn at any time without prior notice. These benefits shall be effective from the date they are first made available to the Member.

The Company may, on a best-efforts basis, provide access to employment-related information, resources, or networking opportunities. Such support:

Legal Advisory and Financing Support

The Company may, at its sole discretion, facilitate access to legal advisory services and financing support for members through internal resources or third-party service providers. Any such support is provided on an as-is, facilitative basis and does not constitute professional legal, financial, or investment advice by the Company.

Members are encouraged to undertake their own due diligence and seek independent professional advice before acting on any information or assistance provided. The Company makes no representations or warranties regarding the quality, suitability, or outcomes of such services and shall not be liable for any loss, claim, or damages arising from or in connection with the use of such support.

Access to these services may be modified, suspended, or withdrawn at any time without prior notice and shall be subject to any additional terms imposed by the service provider.

Informational Purposes Only

All information, guidance, or support provided under the Membership, including but not limited to real estate, investment, or employment-related inputs, is provided strictly for general informational purposes. Nothing herein shall be construed as legal, financial, tax, or professional advice. Members are strongly advised to seek independent professional advice before acting on any such information.

Compliance with Law

Nothing contained in this Membership shall be interpreted in a manner that contravenes any applicable law, including RERA, the Consumer Protection Act, 2019, or rules and regulations framed thereunder. In the event of any conflict, the provisions of applicable law shall prevail.

No Warranty; Right to Modify

All Membership benefits are provided on an "as-is" and "as-available" basis without any representations or warranties, express or implied. The Company reserves the right to amend, modify, suspend, or discontinue any or all benefits, in whole or in part, at any time, without liability.

Membership Categories and Discount Benefits

The Club may, at its sole and absolute discretion, introduce and offer multiple categories of Membership, including but not limited to Platinum Membership and Gold Membership, each carrying distinct features and conditional benefits.

Anti-Misrepresentation and Discount Clarification

Independent Decision-Making

Any reliance on the Information and any decisions taken by the Member based thereon shall be solely at the Member's own discretion, judgment, and risk.

No Representation or Warranty

The Club, its promoters, affiliates, officers, employees, or representatives make no representation or warranty, express or implied, as to the accuracy, completeness, adequacy, reliability, or suitability of the Information for any particular purpose.

No Advisory or Fiduciary Relationship

Nothing contained herein shall be construed as creating any advisory, fiduciary, agency, or professional-client relationship between the Club and the Member.

Independent Professional Advice

Members are strongly advised to seek independent advice from qualified professionals, including legal, financial, tax, or other advisors, before making any decision based on the Information.

Limitation of Liability

To the fullest extent permitted under applicable law, including the Consumer Protection Act, 2019, the Club shall not be liable for any loss or damage, whether direct, indirect, incidental, consequential, special, or punitive, arising out of or in connection with:

No Guarantees

The Club does not guarantee any outcomes, results, employment opportunities, investment returns, or business success arising from the use of or reliance on the Information.

Regulatory Compliance

Nothing in this clause shall be interpreted as permitting any activity in violation of applicable laws, including but not limited to the Real Estate (Regulation and Development) Act, 2016, the Securities and Exchange Board of India Act, 1992, and rules or regulations made thereunder.

Payment Obligation

All applicable Membership fees, including but not limited to initiation fees, subscription fees, renewal charges, or any other applicable fees, shall be paid in full, in advance, and in accordance with the payment schedule prescribed by the Club. Access to Membership benefits is conditional upon receipt of full and cleared payment.

Auto-Debit Authorization

By providing payment instructions or banking details, the Member authorizes the Club to automatically debit Fees, including renewals, from the Member's designated account or card. The Member shall ensure sufficient funds are available and agrees that the Club shall not be liable for any bank charges, penalties, or failed transactions arising from insufficient funds or incorrect banking information.

Non-Refundability

Except as expressly agreed in writing by the Club or as may be required under applicable law, all Fees are non-refundable, non-transferable, and non-adjustable under any circumstances, including non-usage, partial usage, suspension, or termination of Membership. Payment of Fees does not create any entitlement to Membership benefits beyond the period for which Fees have been paid.

Taxes and Statutory Levies

All Fees are exclusive of applicable taxes, including but not limited to Goods and Services Tax (GST), cess, or other statutory levies, which shall be payable by the Member in addition to the Fees, as per applicable law.

Revision of Fees

The Club reserves the right, at its sole discretion, to revise, modify, increase, or introduce new Fees at any time. Reasonable prior notice of such changes will be provided to Members. Continued Membership or use of Membership benefits after such notice shall constitute deemed acceptance of the revised Fees.

Cancellation Policy

Membership may be cancelled by the Member by providing written notice to the Club in accordance with the prescribed cancellation procedure. Cancellation shall be effective from the date of acceptance by the Club. No refund shall be provided for Fees already paid, except as expressly agreed in writing or as mandated by applicable law.

Consequences of Non-Payment

In the event of non-payment, partial payment, or delayed payment of any Fees:

Limitation of Liability

The Club shall not be liable for any loss, damage, or inconvenience arising from suspension, restriction, or termination of Membership due to non-payment, delayed payment, or failed auto-debit transaction.

Dispute-Safe Refunds

Any refund, if approved, shall be at the sole discretion of the Club, subject to verification of the payment and adherence to applicable laws. The Member agrees not to initiate chargebacks, claims, or legal proceedings against the Club without first exhausting the Club's internal grievance and refund process.

Discretionary Waivers

Any waiver, concession, or relaxation in Fees, if granted, is at the sole discretion of the Club and shall not create a precedent or entitlement for future cases.

Member Behavior

Members are expected to conduct themselves in a respectful, courteous, and responsible manner at all times while interacting with Club staff, other Members, guests, or third parties, and while using Club facilities or participating in Club activities.

Prohibited Conduct

Misconduct includes, but is not limited to, the following:

Enforcement

The Club reserves the right, at its sole and absolute discretion, to suspend, restrict, or terminate Membership, with or without prior notice, for any conduct deemed inappropriate, offensive, or in violation of this Code of Conduct or applicable law. Enforcement actions may include restriction of access to Club facilities, cancellation of Membership, or other remedies the Club deems necessary to protect its operations, staff, Members, and reputation.

No Liability

The Club, its affiliates, officers, employees, and representatives shall not be liable for any loss, damage, claim, or inconvenience arising from actions taken in good faith under this Code of Conduct, including suspension, restriction, or termination of Membership.

Discretionary Remedies

Any enforcement action taken under this Code of Conduct shall not be construed as a waiver of the Club's right to pursue any other remedies available under law or contract, including injunctive relief, recovery of costs, or damages.

Termination by the Club

The Club may, at its sole and absolute discretion, suspend or terminate a Member's Membership, with or without prior notice, for any of the following reasons:

Voluntary Termination by Member

A Member may voluntarily terminate Membership by providing written notice to the Club in accordance with the prescribed procedure. Termination shall take effect from the date of acceptance by the Club.

No Refunds Upon Termination

Except as expressly provided by the Club in writing or as required under applicable law, no Fees or other amounts paid shall be refunded or adjusted upon termination, whether initiated by the Club or by the Member.

Effect of Termination

Upon termination:

You agree to be bound by all provisions herein, including but not limited to Membership benefits, fees, privacy, conduct obligations, non-legal advisory disclaimers, and termination rights.

Your continued use of Membership benefits, participation in Club activities, or payment of any Fees constitutes acceptance of any amendments or revisions to these Terms as communicated by the Club.
